• Introduction

  We are a venture building company dedicated to creating, growing, and scaling multiple portfolio businesses. Our work spans from early-stage incorporation through to governance, fundraising, and exits. We are looking for a talented Legal Assistant to play a pivotal role in supporting legal and governance matters across our ventures.

• Position Description

  As a Legal Assistant, you will ensure smooth incorporation, governance, and Companies House compliance for all portfolio companies and our venture builder. You will support on corporate structuring, drafting and reviewing legal documentation, and providing governance guidance to the leadership team and founders.

• Key Role Responsibilities

  Legal & Governance

  • Advise on optimal company structures, ownership models, and governance frameworks.

  • Draft, review, and maintain Articles of Association, Shareholders’ Agreements, Board/Investment Agreements, and other key documents.

  • Support corporate transactions, including fundraising rounds, share transfers, restructuring, and exits.

  • Ensure compliance with UK company law, corporate governance codes, and regulatory requirements.

  • Provide proactive legal guidance to the leadership team and portfolio businesses.

  Company Secretarial Duties

  • Manage the incorporation of new companies and register entities with Companies House and other authorities.

  • Maintain statutory registers (directors, shareholders, PSCs, etc.) across group and portfolio companies.

  • Prepare, review, and file board papers, resolutions, and confirmation statements.

  • Monitor and ensure timely Companies House filings and reporting obligations.

• Ideal Candidate Experience

  Essential

  • Knowledge of UK company law and corporate governance.

  • Proven ability to draft, review, and compile legal documentation.

  • Excellent organisational skills with strong attention to detail.

  • Confident interpersonal and communication skills to advise senior stakeholders.

  Desirable

  • Experience in startups, venture capital, or private equity environments.

  • Exposure to fundraising rounds and investment transactions.

  • Familiarity with Companies House processes and filings.

  • Ability to design and improve legal systems and processes.
